The Companies Act of 2017 sets the statutory floor for corporate governance in Zambia. But for private companies, which constitute the vast majority of Zambian incorporations, the Act establishes only the minimum. Real governance requires more.

Why governance matters in private companies

Private companies face governance failures more often than listed entities, not less. Family disputes, founder-CEO conflicts of interest, and successor planning all collapse without structures that anticipate them.

Governance is the architecture that allows a business to outlive the people who built it.

Practical building blocks

A bespoke shareholders' agreement, well-drafted Articles, a functioning board (including independent voices where appropriate), and clear delegation frameworks form the foundation.
