Mining transactions in Zambia carry layers of risk that simply do not arise in ordinary commercial M&A. Title to mineral rights, environmental liability, community relations and tax position all demand specialised review.

Mineral title

The starting point is verification of the mining licence, its term, area, current standing and any conditions or pending applications. The Mining Cadastre Office search is essential, but it is not sufficient. The licence file must be reviewed at the Ministry.

Environmental and rehabilitation

Environmental Impact Assessments, environmental management plans, rehabilitation bonds and any compliance notices from the Zambia Environmental Management Agency form a critical part of the diligence picture. Inherited liability in this area can be substantial.

In mining transactions, what you do not investigate becomes what you have purchased.
